This is my first attempt with WP. I downloaded the flexibility2 theme and unzipped it. I didn't see any Readme or instructions. Do I just install WP and then upload this to the themes directory and thats it?

Yup, install like any other theme. You can just upload the zip via the WP theme uploader also.
